These Terms of Service (the "Terms") are a binding agreement between you and Hoodco LLC, an Idaho limited liability company doing business as HoodCommand ("Hoodco," "HoodCommand," "we," "us," or "our"), with a mailing address of P.O. Box 2156, Pocatello, ID 83206. They govern your use of https://hoodcommand.com, the HoodCommand web and mobile application, and any related tools, including the Hood Quote Flow calculator (together, the "Service").
If you accept these Terms on behalf of a company, you confirm that you have authority to bind that company. In that case, "you" and "Customer" mean the company. By creating an account, starting a trial, clicking "I agree," or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
How we handle information is described in our Privacy Policy.
1. The Service
HoodCommand is field-reporting and operations software for commercial kitchen exhaust (hood) cleaning companies. Depending on your plan, it includes geofenced clock-in; pre-trip and post-trip vehicle inspections; guided job reports with autosave; before and after photos; electronic signatures; branded PDF customer reports emailed when a job closes; a manager QC queue; team, vehicle, and fleet directories; receipt capture; a deficiency pipeline; technician scorecards; a pay and incentives hub; and, on the Concierge plan, training programs, quizzes, and an SOP and safety library. Features by plan are listed at https://hoodcommand.com/pricing. We may improve, change, or retire features over time. We will not materially reduce the core functions of your paid plan during a paid term without notice.
2. Accounts
You must be at least 18 years old and use the Service for business purposes.
Sign in with an email and password or with Google. Keep your login details confidential. You are responsible for all activity under your account and your users' accounts.
The account owner controls who is invited, their roles and permissions, and when access is removed. Remove access promptly when a team member leaves.
Give us accurate information and keep it current. Tell us right away at hoodcocleaning@gmail.com if you suspect unauthorized access.
3. Free trial
New Customers can try the Service free for 14 days. No credit card is required to start a trial.
When the trial ends, you will not be charged automatically, because we do not have your payment details. To keep using the Service, choose a plan and enter payment details. If you do not, your account will be paused until you choose a plan, and we will keep your trial data for [30] days so you can subscribe or export it, then we may delete it.
One trial per company. We may refuse, limit, or end a trial at our discretion, for example if we suspect abuse.
Trials are provided "as is" with no warranty or support commitments.
4. Subscriptions, plans, and pricing
Plans.
We offer Starter, Pro, Business, and Concierge plans, billed monthly or annually. Current prices, features, and included team-member limits are shown at https://hoodcommand.com/pricing and at checkout. The price shown at checkout is the price that applies to you. Founding-member prices are listed in Section 6.
Team-member limits.
Each plan includes a set number of active team members ([Starter: 1 owner/admin + 2 technicians; Pro: 10; Business: 15; Concierge: 25 — to confirm]). Additional team members on eligible plans cost [$10] per user per month and are added to your subscription.
Annual plans.
Annual plans are billed upfront for 12 months at the price of 10 months.
Concierge.
Concierge includes onboarding, done-with-you setup, and quarterly workflow reviews, scheduled at mutually agreed times. Services not used during a term do not carry over and are not refundable.
Taxes.
Prices do not include taxes. You are responsible for applicable sales, use, and similar taxes, which we will add where required.
Price changes.
We may change regular prices with at least [30] days' notice by email or in the app. Changes take effect at your next renewal. Founding-member pricing is handled as described in Section 6.
5. Billing, auto-renewal, and cancellation
Payment processor.
Payments are processed by a third-party payment processor. By subscribing, you authorize us and our processor to charge your payment method for all fees when due.
Auto-renewal.
Your subscription renews automatically at the end of each billing period (monthly or annual) for another period of the same length, and your payment method will be charged the then-current price for your plan, plus any added team members and taxes, until you cancel. For annual plans, we will email you a reminder [at least 15 to 45 days] before renewal.
How to cancel.
You can cancel at any time [in the app under Settings > Plan & Billing — to confirm], through in-app support chat, or by emailing hoodcocleaning@gmail.com. Cancellation takes effect at the end of your current paid billing period. You keep access until then, and you will not be charged again.
Refunds.
Except where the law requires otherwise, fees are non-refundable, and we do not give refunds or credits for partial billing periods, unused team-member seats, or unused features.
Upgrades and downgrades.
Upgrades take effect immediately, and we prorate the charge. Downgrades take effect at your next renewal. Downgrading can remove access to features and may require you to reduce team members. Your reports and data stay intact.
Failed payments.
If a payment fails, we will try again and notify you. If it is still unpaid [14] days after the due date, we may suspend the account until it is paid.
Disputes.
If you think a charge is wrong, contact us within 60 days, and we will work with you in good faith before you file a chargeback.
6. Founding-member pricing
The founding-member offer is available to the first 25 companies that start a paid subscription while the offer is active, or until we end the offer, whichever comes first.
Founding members pay the founding price for their plan:
| Plan | Founding price | Regular price |
|---|---|---|
| Starter | $20/month | $29/month |
| Pro | $50/month | $79/month |
| Business | $97/month | $149/month |
| Concierge | $199/month | $399/month |
Price lock.
As long as your subscription stays continuously active and in good standing, your founding price for your plan does not increase. This matches the current wording on our pricing page: founding members "keep their discounted subscription price while their subscription remains continuously active."
When the lock ends.
The founding price ends, and regular pricing applies if you resubscribe, if you cancel, if your subscription lapses for non-payment for more than [14] days, or if your account is terminated for breach of these Terms.
Plan changes.
If you upgrade or downgrade plans, your founding-level pricing follows you to the new plan.
What the lock covers.
The founding price applies to the base plan fee. Added team members, taxes, and one-time purchases are billed at the then-current price.
Founder access and roadmap input.
Founding members get direct access to the founder for feedback and support and can suggest features. Feature suggestions are not commitments to build anything on any timeline.
The founding-member offer cannot be transferred, except with a sale of your whole business, and it cannot be combined with other discounts unless we say so.
7. One-time purchases (Hood Quote Flow)
The Hood Quote Flow calculator is sold for a one-time payment of $27 and does not require a subscription. You get a personal, non-transferable license to use it for your business for as long as we offer it. Quotes it produces are estimates based on the inputs you enter. You are responsible for your own pricing decisions. If you're not satisfied, you can request a full refund within 14 days of purchase by emailing hoodcocleaning@gmail.com.
8. Acceptable use
You agree not to, and not to let anyone else:
- Use the Service in violation of any law, including privacy, employment, consumer-protection, and anti-spam laws;
- Create false, misleading, or backdated reports, photos, signatures, or inspection records, or present a HoodCommand report as an official inspection, certification, or government document;
- Upload content you do not have the right to use, or content that is unlawful, harassing, or infringing, or that contains malware;
- Collect location or other data about people without the notice and consent the law requires;
- Share login credentials, or let more users access the Service than your plan allows;
- Probe, scan, or test the Service for vulnerabilities without our written permission, or interfere with its operation;
- Reverse engineer, copy, resell, or build a competing product from the Service, except as the law expressly allows;
- Scrape the Service or access it through automated means, except through features or APIs we provide; or
- Use the Service to send unsolicited bulk messages.
We may suspend or remove content or accounts that violate this section.
9. Your data
You own your data.
As between you and us, you (the Customer) own all data, photos, signatures, reports, and other content you or your users submit to the Service, including information about your employees, technicians, and clients ("Customer Data").
Our license to host it.
You give us a limited, worldwide, non-exclusive license to host, store, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service and as described in our Privacy Policy. When we handle Customer Data, we act as your processor or service provider.
Your responsibilities.
You confirm that you have the rights, notices, and consents needed to put Customer Data into the Service. That includes notifying employees about geofenced clock-in and location collection and getting their consent where the law requires it, and having permission to email reports to your clients.
Aggregated data.
We may create de-identified, aggregated data (for example, overall feature usage) that does not identify you, your users, or your clients, and use it to improve the Service.
Export and deletion.
You can export your reports and data while your account is active. After cancellation, we keep Customer Data for [90] days so you can export it, then delete it as described in our Privacy Policy.
Feedback.
If you send us ideas or suggestions, we may use them without any obligation to you.
10. Our intellectual property
The Service, including its software, design, workflows, templates, checklists, training content we provide, and the HoodCommand and Hoodco names and logos, belongs to Hoodco and its licensors. Subject to these Terms and payment of fees, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business during your subscription. Your logo and branding stay yours. You allow us to show them in your reports and in the app.
11. Compliance disclaimer: reports document work; they are not inspections
Please read this section carefully.
HoodCommand is a documentation tool. Reports record the work, observations, photos, and findings that your technicians enter. The accuracy and completeness of every report is your responsibility.
Describing reports as "NFPA 96-ready" or "compliance-ready" means they are formatted to capture the kinds of information NFPA 96 and inspectors commonly look for. HoodCommand does not guarantee that any kitchen exhaust system, cleaning, or report complies with NFPA 96, the International Fire Code, any local fire code, insurance requirements, or any other standard.
A HoodCommand report is not a fire inspection, code-compliance certification, or engineering assessment, and it does not replace one. It does not replace inspection or approval by the authority having jurisdiction (AHJ), such as a fire marshal, or any required certification of your technicians.
You are solely responsible for performing work to applicable standards, for meeting licensing, certification, and training requirements, and for deciding what to tell your clients.
Checklists, SOPs, training templates, and safety forms we provide are general starting points. You must review and adapt them for your business, equipment, and jurisdiction.
12. Third-party services
The Service relies on, or can connect to, third-party services (for example, hosting, payments, email delivery, Google Sign-In, and integrations such as Jobber). Their own terms govern your use of them. We are not responsible for third-party services, or for data you send to them through an integration you enable.
13. Availability and support
We work to keep the Service available and to fix problems quickly, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, outages of our providers, or events beyond our control. Support is available through in-app chat and email, with priority support on Concierge. Offline capture and autosave reduce, but do not eliminate, the risk of data loss in areas with poor signal. Make sure reports are synced and submitted.
14. Warranty disclaimer
Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the fullest extent permitted by law, Hoodco disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and any warranty that the Service or any report will meet regulatory, code, or insurance requirements.
15. Limitation of liability
To the fullest extent permitted by law:
Hoodco will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, or for business interruption, even if we were told they were possible.
Hoodco is not liable for fires, property damage, bodily injury, failed inspections, fines, insurance denials, or claims by your clients arising from the cleaning or service work you perform, or from the content of reports you create.
Hoodco's total liability for all claims related to the Service or these Terms will not exceed the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) [$100].
Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
16. Indemnification
You will defend, indemnify, and hold harmless Hoodco and its owners, employees, and agents from any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising from (a) your Customer Data; (b) the cleaning, inspection, or other services you provide to your clients; (c) your violation of these Terms or the law; or (d) your collection or use of employee or client information, including location data.
17. Suspension and termination
You may stop using the Service and cancel at any time as described in Section 5.
We may suspend or terminate your account if you materially breach these Terms (including non-payment) and do not fix the breach within [10] days of notice, or immediately if needed to prevent harm, fraud, security risks, or legal violations.
We may stop offering the Service with at least [60] days' notice and will refund any prepaid fees for the unused period.
Sections that by their nature should survive termination (such as data ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
18. Governing law and disputes
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-law rules.
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other in writing and negotiating in good faith for 30 days.
Any lawsuit must be brought in the state or federal courts located in [Bannock County], Idaho, and both parties consent to their jurisdiction.
Either party may seek injunctive relief to protect its intellectual property or confidential information.
19. Changes to these Terms
We may update these Terms. We will post the updated version with a new "Last updated" date and, for material changes, notify account owners by email or in the app at least [30] days before they take effect. If you keep using the Service after changes take effect, you accept them. If you do not agree, cancel before they take effect.
20. General
These Terms, together with the Privacy Policy and any order form or plan details shown at checkout, are the entire agreement between us about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except with a sale of your whole business. We may assign them with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may send notices to the account owner's email address. You may send notices to the contact details below. Nothing in these Terms creates a partnership, employment, or agency relationship.
